Active Exhaust Corp. (“Active”) designs, tests, and manufactures complete engine exhaust/emission systems and components for major OEMs operating in the off-road equipment sector, including the Agricultural, Construction, and Recreational Vehicle end-markets.

NewPoint’s Role

NewPoint was retained by Active to execute a buy out of the Company's minority shareholders and put in place a capital structure to best support Active's continued growth. NewPoint was responsible for the development of the plan, facilitating due diligence, and the negotiation of all key transaction terms and agreements related to closing.
