ACS provides innovative solutions in the design and manufacture of best-in-class exhaust systems, tubular products and fabricated components for OEMs in the transportation industry. Its Bach-Simpson division was a designer and manufacturer of electronic instrumentation, control equipment and panel meters. The products were primarily used by rail freight/transit original equipment manufacturers ("OEMs"), industrial OEMs and electronics distributors.
NewPoint was retained to assist in the completion of a financial and operational restructuring of the business. As a part of the process, it was concluded that Bach-Simpson should be sold. NewPoint led the effort to seek a potential acquiror on terms favorable to ACS, whilst conducting an expeditious process.
NewPoint successfully canvassed a wide-variety of both strategic and financial buyers to gauge their interest in acquiring the division. Ultimately, Global Railway Industries was chosen as the best party with which to complete a transaction. The sale was considered a success for ACS in terms of "right-sizing" its business and providing capital to enhance the liquidity of the remaining core operations.
