Highland Farms Inc. is a family owned grocery business in the Greater Toronto Area, with over 50 years of operations. The Company offers products ranging from Meat and Produce to Baked Goods and Sushi and operates from five retail stores across the city.

NewPoint’s Role

NewPoint was retained as exclusive financial advisor by one of the founding shareholders to negotiate and settle a shareholder dispute. NewPoint provided analyses on valuation and transaction considerations around a variety of potential structures and advised the client on the most advantageous option. NewPoint also helped raise a new senior debt facility to support the Company’s working capital and growth plans.

Transaction Snapshot

Due to a dispute between the two principal shareholders, Highland Farms was split into two entities which each shareholder now owning and operating select retail locations. Through NewPoint’s assistance in the negotiations, the client was able to successfully resolve the dispute while preserving the value of the business.
